Bylaws

Article 1:  Name

This independent non-profit organization shall be known as the Montclair State University Emeriti Association, hereafter referred to as the Association. The Association has the sanction of the Office of the Provost.

Article II:  Objectives

The Association is dedicated to continuing involvement and participation of Emeriti at Montclair State University for the mutual benefit of both the University and the members of the Association. More specifically, the objectives of the Association are to:

  • Provide opportunities for Association members to maintain professional contact with colleagues in their own and other disciplines.
  • Facilitate Emeriti contributions to scholarly, educational, professional, and community service goals.
  • Publicize the continuing accomplishments of Emeriti to scholarly, educational, professional, and community service initiatives, thus enhancing the reputation of the University.
  • Promote the general welfare of Emeriti.
  • Sponsor educational programs, lectures, workshops, and symposia at the University on intellectual, social, and cultural issues of interest to Emeriti and the University community.
  • Serve as mentors for current faculty and students.
  • Develop programs that ease the transition from “active” professional and social activities to “retired” professional and social activities.

Article III:  Membership

Retirees who have been granted Emerita/Emeritus status are eligible for membership in the Association.

Article IV:  Meetings

There shall be regular meetings of the Association in the Fall and Spring semesters of each academic year.  A Spring semester meeting each year shall be designated the annual business meeting.  It shall be called to receive reports of officers and committees and to conduct elections and all other appropriate business.

The Association shall meet at other times designated by the Executive Committee. Association Committees shal meet as required to conduct the business of the Association.

Article V:  Dues and Assessments

The fiscal year of the Association shall be September 1 through the following August 31. The annual dues of Association members shall be determined by the Executive Committee and approved by a majority vote of the Committee.

Article VI:  Officers Election

The officers of the Association shall be the President, Vice President, Secretary, and Treasurer and they shall be elected at the annual meeting.

At the annual meeting, the officers of the Association and the members-at-large shall be elected by secret ballot. For members not attending the annual meeting, their ballots must be received by the Membership/Nominations/Elections Committ seven days prior to the meeting.

The officers shall be elected for a two-year term and shall be eligible for re-election for a second two-year term.

Article VII:  Duties of Officers

The President shall preside at meetings of the Association, shall exercise general supervision over the affairs of the Association, shall be the Chair of the Executive Committee, and shall serve as an ex-officio member of all standing committees of the Association. The President or his/ her designee shall serve as liaison to the Provost's Office.

The Vice President shall serve as an assistant to the President in matters of the Association and shall assume all the stated duties of the President in his/her absence.

The Secretary shall send notices to members, present reports and communications as the need arises, and keep minutes of all meetings of the Association and its Executive Committee.

The Treasurer shall be responsible for the collection of contributions, dues, assessments, and other payments and shall be the custodian and disburser of all Association funds.  Membership dues and donations are to be made to the Montclair State University Emeriti Association under the auspices of the MSU Foundation. The Treasurer shall present a complete statement of the financial standing of the Association to the members at each annual business meeting.

Article VIII:  Executive Committee

The Executive Committee shall consist of the officers, two elected members-at-large, and the Chairs of the standing committees.  Past Presidents may serve as non-voting ex-officio members.

Members at-large shall be elected for two-year terms.  If a member at-large cannot complete his/her term of office, the Executive Committee after consultation with the Membership/Committee/Nominations Committee by a majority vote shall appoint a replacement to serve for the duration of said term.

Other vacancies on the Executive Committee shall be filled by a majority vote of the Executive Committee, and the appointees shall serve until the next annual business meeting of the Association.

To the greatest possible extent, the Executive Committee should have representation from each of the Colleges of the University.

Article IX:  Committees

At the beginning of each year, the President with the advice of the new Executive Committee shall appoint a Nominations/Elections Committee Chair and members). The Nominations/Elections Committee shall identify individuals who agree to chair or serve on the following year’s standing committees of the Association.


Prior to each annual business meeting the Nominations/Elections Committee shall report its recommendation for standing committee memberships to the Executive Committee.  The President with advice from from the Executive Committee shall appoint Committee members. The President shall report on the compositions of the incoming standing committees at the annual business meeting.

The standing committees include:
  • Membership/Nominations/Elections Committee
  • Programs Committee
  • University and Public Relations Committee
  • Editoria/Newsletter
  • Parlementarian/Historian
  • Webmaster
  • Ad hoc committees may be appointed by the President as needed

Article X:  Newsletter

The official newsletter of the Association shall be known as the Montclair State University Emeriti Times.

The Editor of the Montclair State University Emeriti Times shall be appointed by the President with the advice of the Executive Committee.

The spring issue shall be published at least four weeks prior to the annual business meeting and shall specify the time and place of the meeting.  The fall issue shall be published at least three weeks prior to the fall meeting and shall specify the time and place of the meeting.

Ad hoc issues of the Montclair State University Emeriti Times may be published as directed by the Executive Committee.

Article XI:  Nominating Procedure

The Nominations/Elections Committee shall be responsible for making nominations for commitee Chairs and members to the Executive Committee for their consideration an appointment by the President.

The fall issue of the Montclair State University Emeriti Times will contain an invitation for members to recommend candidates for elective office to the Chair of the Nominations/Elections Committee.

the Nominations/Elections Committee slate of nomines shall be published in the spring issue of the Montclair State University Emeriti Times.

During the annual business meeting, nominations from the floor of individuals who have agreed to serve, if elected, shall be accepted.

Article XII:  Parliamentary Authority

Roberts Rules of Order Newly Revised shall be the parliamentary authority for the Association.

Article XIII:  Amendments

Proposed amendments to these Bylaws may originate either from a majority vote of the Executive Committee or from a petition to the Secretary signed by at least ten percent of the paid membership.

The text of proposed amendments to be voted upon at the annual business meeting shall be published in the Spring issue of the Montclair State University Emeriti Times.   If amendments are to be considered at any other meeting of the Association, notice thereof, including the full text of the proposed amendments, shall be sent to each member by the Secretary not less than two weeks before the date of the meeting in question.

To be adopted, proposed amendments must receive a two-third majority vote by a combination of Association meeting attendees and by absentee ballots received.
